By signing below, the applicant acknowledges and agrees that, when signed and accepted by AI-RAN Alliance, this application represents a binding contract between the parties and commits the applicant to (i) payment of annual membership dues and fees as determined from time to time by the Board of Directors, and (ii) comply with all the terms and conditions of AIRAN Alliance’s Certificate of Incorporation, Bylaws and Intellectual Property Rights Policy (the applicant hereby acknowledging receipt of copies of these documents), each as from time to time amended, and such rules and policies as the Board of Directors and/or committees may from time to time adopt.

Additionally, the applicant acknowledges and agrees that (i) the U.S. government administers and enforces various export control laws and economic or targeted sanctions programs that, collectively, may (a) restrict U.S. persons and others from engaging in the export, reexport, transfer, and import of certain information, technology, items and services and/or (b) prohibit certain transactions and business activities with certain entities or persons or in or with nationals of certain countries or regions (collectively, “Export and Trade Laws”); (ii) AI-RAN Alliance is obligated to comply with all such Export and Trade Laws; (iii) applicant (a) shall strictly comply with all such Export and Trade Laws in connection with its participation in AIRAN Alliance activities, (b) is solely responsible for obtaining all licenses, permits and other authorizations necessary to ensure such compliance, and (c) shall immediately notify AI-RAN Alliance if applicant’s participation or receipt of information or technology in connection with such activities may cause AI-RAN Alliance or any of its members to be in violation of any Export and Trade Laws; and (iv) AI-RAN Alliance may immediately restrict, suspend or terminate any AI-RAN Alliance membership, participation, or associated rights or activities in the event it believes that such action is reasonable, necessary or appropriate in order to discontinue or avoid any such violation. The applicant certifies that it meets the conditions of Membership specified in the Bylaws and that, where applicable, it has accurately stated its current consolidated revenue/employee count, if relevant, in calculating the fees payable with respect to the Membership class which it has selected above.

NOTE: Membership renews automatically unless AI-RAN Alliance receives notice of non-renewal no later than thirty days prior to the renewal date of the membership.
